Introduction

These Terms and Conditions govern the provision of web development services provided by UI Squares Digital Solutions (hereinafter referred to as “the Company”), registered at 1229 Huron st, London ON Canada. By engaging with the Company for services, you (the “Client”) agree to be bound by these Terms and Conditions.

Services

The Company provides web development, design, and maintenance services as described in the service agreements and proposals provided to Clients. The specific details of the services to be provided will be outlined in the service agreement specific to each Client.

Payment Terms

  • Fees: The Client agrees to pay the fees as described in the service agreement.
  • Invoices: The Company will invoice the Client as specified in the agreement. Payment is due within 30 days of invoice date unless otherwise specified.
  • Late Payment: Late payments may incur a late payment fee of 1.5% per month on the outstanding balance.

Client Responsibilities

  • Information and Access: The Client is responsible for providing all necessary access to information, software, and hardware that the Company needs to complete the service.
  • Approvals: The Client must approve and provide feedback on deliverables within a reasonable timeframe.

Intellectual Property

  • Ownership Rights: Upon full payment, the final website design and developed code are the intellectual property of the Client.
  • Pre-existing Materials: Materials pre-existing the commencement of services provided by the Company remain the intellectual property of the respective owners.

Confidentiality

Each party agrees to keep all proprietary information confidential, only disclosing it when necessary to perform the services.

Termination

Either party may terminate the agreement with written notice if the other party breaches these Terms and Conditions and fails to correct the breach within a reasonable period.

Limitation of Liability

The Company will not be liable for any indirect or consequential losses due to delay in obligated service deliverables, where the delay is because of natural disasters or any other causes beyond reasonable control.

Dispute Resolution

In the event of a dispute, the parties will attempt to resolve the matter through negotiation or mediation before resorting to legal action.

Amendment

These Terms and Conditions may be amended from time to time by the Company, with such amendments effective immediately upon posting on the Company’s website.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is registered.

By accepting these Terms and Conditions, the Client acknowledges that they have read, understood, and agreed to be bound by them.
